Michael Saylor’s Strategy announced on March 21st that 8.5 million shares of 10.00% Series A Perpetual Strife Preferred Stock will be offered for sale on, with a public offering price of $85.00 per share.

According to standard closing conditions, the perpetual strife preferred stock will be issued and sold on March 25, 2025.

Strategy To Raise Over $711.2 Million After Stock Offering

After subtracting the underwriting discounts and commissions, as well as the projected offering expenses, the company projects that the net proceeds from the offering will be around $711.2 million.

The net proceeds from the offering will be used by the company for operating capital and other general corporate objectives, such as purchasing bitcoin.

On the specified amount of $100 per share (the “stated amount”), the perpetual strife preferred stock will accrue cumulative dividends at a fixed rate of 10.00% year.

For the perpetual strife preferred stock, regular dividends will be paid out of funds legally available for their payment on March 31, June 30, September 30, and December 31 of each year, starting on June 30, 2025, as and if declared by the company’s board of directors.
